Please read these Terms of Service carefully before engaging Brief Route for any marketing services. By signing a service agreement, submitting a contact form, or making any payment to Brief Route, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
01 / Acceptance of Terms

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Brief Route ("Brief Route," "we," "our," or "us"), governing your access to and use of our digital marketing services, website, and any related content, tools, or communications provided by Brief Route.

By engaging our services — whether through a signed proposal, a verbal agreement, an electronic acceptance, a submitted form, or any payment — you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement on behalf of yourself or the organization you represent, and agree to comply with and be bound by these Terms in their entirety.

If you do not agree with any portion of these Terms, you must not use or access our services. Continued use of our services following any posted update to these Terms constitutes your acceptance of those changes.

These Terms apply to all services offered by Brief Route, including but not limited to Paid Advertising (PPC), Search Engine Optimization (SEO), Content and Creative Marketing, and Marketing Strategy Audits.

02 / Services Description

Description of Services

Brief Route provides a range of digital marketing services designed to help businesses grow their online presence, generate qualified leads, and increase revenue. Our core services include the following:

  • Paid Advertising (PPC): Professional management and optimization of paid advertising campaigns across Google Ads, Meta platforms (Facebook and Instagram), LinkedIn, and other agreed-upon networks. Services include campaign architecture, audience targeting, creative development oversight, bid management, A/B testing, and performance reporting.
  • Search Engine Optimization (SEO): Comprehensive optimization of your website's content, technical infrastructure, and off-page authority to improve visibility in organic search results. Services include keyword research and mapping, on-page optimization, technical SEO audits, content recommendations, and rank tracking.
  • Content and Creative Marketing: Development of high-converting marketing assets including sales page copy, advertising copy, email marketing content, and social media content. Services are scoped per campaign and delivered according to agreed-upon timelines and specifications.
  • Marketing Strategy Audit: A comprehensive review of your existing marketing channels, spend, funnels, and performance data. Deliverables include a written audit report and a step-by-step action plan for funnel optimization and ROI improvement.

The specific scope of services, deliverables, timelines, and pricing for each engagement are defined in individual service agreements, proposals, or statements of work provided by Brief Route. In the event of any conflict between these Terms and a signed service agreement, the signed service agreement shall control.

Brief Route reserves the right to modify, update, or discontinue any service at any time, provided that we honor our commitments under active, paid agreements.

03 / Client Obligations

Client Obligations

To enable Brief Route to deliver services effectively, you agree to the following obligations:

  • Timely Provision of Information: You will provide all necessary business information, access credentials, brand materials, product/service details, and other assets required for the execution of services within agreed timelines. Delays in providing required materials may impact delivery schedules and do not constitute a basis for refund.
  • Accurate Information: All information, data, and content you provide to Brief Route must be accurate, truthful, and not misleading. You are solely responsible for ensuring the accuracy of any claims made in your marketing campaigns.
  • Lawful Use: You represent and warrant that your business, products, services, and marketing content comply with all applicable laws, regulations, and platform advertising policies. You will not use Brief Route's services to advertise illegal products, services, or activities.
  • Platform Access: Where services require access to your advertising accounts, website, analytics platforms, or other digital properties, you agree to grant Brief Route the necessary access in a timely manner. Access should be provided at the appropriate administrative level required to perform the agreed services.
  • Timely Feedback and Approvals: You agree to provide timely feedback, approvals, and responses to requests from Brief Route. Prolonged delays in client response may affect service timelines and deliverables.
  • Payment: You agree to pay all fees as specified in your service agreement, proposal, or invoice. Failure to make timely payments may result in suspension or termination of services.
04 / Payment Terms

Payment Terms

All fees, rates, and payment schedules are specified in individual service agreements or proposals. The following general payment terms apply unless otherwise specified in writing:

  • Monthly Retainer Services: Payment for ongoing monthly services (such as PPC management) is due on the first day of each service month or as specified in the service agreement. Services will not commence or continue for a new month until payment is received.
  • Project-Based Services: Project fees (such as SEO or content campaigns) are typically invoiced with a deposit of 50% due before project commencement and the remaining balance due upon project completion or at agreed milestones. Specific payment schedules are defined in the project agreement.
  • Audits: Strategy Audit fees are payable in full prior to commencement of the audit process.
  • Late Payments: Invoices not paid within 15 days of the due date are considered past due. Brief Route reserves the right to suspend services on overdue accounts and to apply a late fee of 1.5% per month on outstanding balances, compounded monthly, beginning on the 16th day after the invoice due date.
  • Ad Spend: Any advertising spend (budgets for Google Ads, Meta Ads, etc.) is separate from and in addition to Brief Route's management fees. Ad spend is paid directly by the client to the respective advertising platform and is not included in Brief Route's fees unless explicitly stated otherwise.
  • Currency: All fees are denominated in United States Dollars (USD) unless otherwise specified.
  • Taxes: You are responsible for all applicable sales taxes, use taxes, or other taxes imposed by applicable law on the services received, unless Brief Route is required by law to collect and remit such taxes.
05 / Intellectual Property

Intellectual Property Rights

Client Materials: You retain all ownership rights to intellectual property you provide to Brief Route, including trademarks, logos, product images, and pre-existing content. By providing these materials, you grant Brief Route a non-exclusive, royalty-free license to use them solely for the purpose of providing the agreed services.

Deliverables: Upon receipt of full payment for the applicable services, Brief Route assigns to you all rights, title, and interest in the deliverables created specifically for you under a service agreement (such as ad copy, landing page copy, and content assets), subject to any third-party licenses embedded therein.

Proprietary Methodologies: Brief Route retains all rights to its proprietary processes, methodologies, frameworks, templates, tools, systems, and general knowledge developed or utilized in the course of providing services. Nothing in these Terms grants you any rights to these proprietary assets beyond the specific deliverables outlined in your service agreement.

Portfolio Use: Brief Route reserves the right to reference your company name and describe the general nature and results of the services provided in our marketing materials, proposals, and website, unless you request otherwise in writing prior to project commencement. We will not disclose confidential metrics or data without your written consent.

06 / Confidentiality

Confidentiality

Both parties recognize that they may have access to confidential and proprietary information of the other during the course of the engagement. Each party agrees to maintain in strict confidence all Confidential Information received from the other party and to use such information solely for the purpose of fulfilling obligations under the service agreement.

"Confidential Information" means any non-public information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of its disclosure, including but not limited to business strategies, financial data, customer lists, marketing performance data, pricing, trade secrets, technical information, and proprietary methodologies.

These obligations of confidentiality do not apply to information that: (a) is or becomes publicly known through no breach of this agreement; (b) was rightfully known by the receiving party before disclosure; (c) is independently developed by the receiving party without use of the disclosing party's confidential information; or (d) is required to be disclosed by law or court order, provided the disclosing party is given reasonable prior notice.

These confidentiality obligations shall survive the termination of any service agreement for a period of three (3) years.

07 / Disclaimer of Warranties

Disclaimer of Warranties

BRIEF ROUTE PROVIDES ALL SERVICES ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BRIEF ROUTE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Brief Route makes no warranty or representation that:

  • Services will achieve specific results, including but not limited to specific revenue figures, lead volumes, search rankings, or return on advertising spend;
  • Advertising campaigns will be approved by any third-party platform;
  • Search engine rankings will be achieved or maintained at any particular level;
  • The services will be uninterrupted, error-free, or secure;
  • Any specific level of traffic, engagement, or conversion will be generated.

Digital marketing results are inherently variable and dependent on numerous factors outside of Brief Route's control, including market conditions, industry competition, algorithm changes by third-party platforms (such as Google, Meta, or LinkedIn), client budget levels, product/service quality, and broader economic conditions. While we apply best-practice methodologies and genuine professional effort to every engagement, we cannot and do not guarantee specific performance outcomes.

08 / Limitation of Liability

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BRIEF ROUTE, ITS OWNER, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS, LOSS OF GOODWILL, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES PROVIDED, EVEN IF BRIEF ROUTE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, BRIEF ROUTE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO BRIEF ROUTE DURING THE THREE (3) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The limitations of liability set forth in this section shall apply even if any remedy fails of its essential purpose. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you in its entirety.

09 / Term and Termination

Term and Termination

These Terms remain in effect for the duration of your engagement with Brief Route and for any period thereafter as required by the surviving provisions of these Terms.

Termination by Client: You may terminate a service agreement by providing written notice as specified in your service agreement (typically 30 days' written notice for monthly retainers). Project-based agreements may be terminated prior to completion, subject to payment of all fees for work completed and any applicable cancellation fees specified in the project agreement.

Termination by Brief Route: Brief Route may terminate or suspend services immediately, without prior notice, if you fail to make timely payment, breach any material provision of these Terms or your service agreement, provide false or misleading information, or engage in activity that violates applicable law or third-party platform policies.

Effect of Termination: Upon termination, all outstanding fees become immediately due and payable. Brief Route will provide you with any client-owned materials and data in its possession within 15 business days of termination, subject to receipt of all outstanding payments. Brief Route shall have no obligation to retain your data or campaign configurations after 60 days following termination.

Survival: Sections relating to Payment Terms, Intellectual Property, Confidentiality, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution shall survive the termination of these Terms.

10 / Governing Law

Governing Law

These Terms of Service and any disputes arising out of or related to these Terms or the services provided by Brief Route shall be governed by and construed in accordance with the laws of the State of Missouri, United States of America, without regard to its conflict of law provisions.

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts of competent jurisdiction located in Randolph County, Missouri, and each party hereby irrevocably consents to the personal jurisdiction and venue of such courts.

11 / Dispute Resolution

Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the services provided by Brief Route, the parties agree to first attempt to resolve the dispute through good-faith negotiation. Either party may initiate the negotiation process by providing written notice to the other party describing the dispute in reasonable detail.

If the dispute is not resolved through negotiation within thirty (30) days of the written notice, the parties agree to submit the dispute to non-binding mediation before a mutually agreed-upon mediator in Randolph County, Missouri, as a condition precedent to initiating any legal proceedings.

If mediation is unsuccessful, either party may pursue their claims in a court of competent jurisdiction as described in the Governing Law section. You agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class action or representative proceeding.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.

12 / Amendments

Amendments and Modifications

Brief Route reserves the right to modify or update these Terms of Service at any time. When we make material changes to these Terms, we will update the effective date at the top of this document and may notify active clients via email.

Your continued use of our services after any posted changes to these Terms constitutes your acceptance of the updated Terms. If you disagree with the updated Terms, you must discontinue using our services and notify us in writing.

No modification to these Terms by you shall be binding on Brief Route unless expressly agreed to in writing and signed by an authorized representative of Brief Route.

13 / Indemnification

Indemnification

You agree to defend, indemnify, and hold harmless Brief Route, its owner, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your breach of these Terms or any service agreement; (b) your use of the services in violation of applicable law or third-party rights; (c) any content, materials, or information you provide to Brief Route; (d) any false or misleading claims in your marketing campaigns; or (e) your business operations, products, or services.

Brief Route reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

14 / Third-Party Services

Third-Party Services and Platforms

The services provided by Brief Route may involve the use of third-party advertising platforms, analytics tools, software, and services, including but not limited to Google Ads, Meta Ads Manager, LinkedIn Campaign Manager, Google Analytics, and other industry-standard tools.

Your use of these third-party services is subject to the respective terms of service, privacy policies, and advertising policies of those platforms. Brief Route has no control over and assumes no responsibility for the content, policies, practices, or availability of third-party platforms.

Changes made by third-party platforms to their algorithms, policies, targeting capabilities, or pricing structures may impact the performance of your campaigns. Such changes are outside Brief Route's control and do not constitute a breach of your service agreement or grounds for a refund.

You represent and warrant that you have the right to use all third-party services and platforms engaged as part of the services, and that your use of such platforms complies with their respective terms of service.
